You may have read or heard about the recent case of National Small Business United d/b/a National Small Business Association, et al, as Plaintiffs, versus Janet Yellen, in her official capacity as Secretary of the Treasury, et al., as Defendants, in which the United States District Court for the Northern District of Alabama, Northeastern Division, held on March 1, 2024, that the Corporate Transparency Act (the “CTA”) was unconstitutional because it exceeds the Constitution’s limits on Congress’ power. Though the case has some compelling arguments, what does this mean for you and your clients? What should you be advising them, and when should they file, if at all?
