How does the IRS treat the business assets for purposes of the Offer?

The IRS can either consider the business\’s income or its assets for the Offer, not both. If business assets are necessary for the production of income they are not considered available for purposes of the Offer. If the business is not producing income, or the assets are unnecessary for the business, then the IRS would consider their equity available for purposes of the Offer.
