Appeals accepted the Offer but wants my client to waive their tax court rights. Should we agree to sign it?

If you agree with the decision by Appeals then yes your client should sign the waiver. Having the taxpayer sign the Tax Court Waiver is standard procedure because Appeals does not want to go through all the effort to put everything in place if your client plans on litigating the matter. If the outcome is what you wanted, then you should agree and sign the waiver so that Appeals can close the case and put the compromise in place.
